data-legal-placeholderin the source to find them.These Terms of Service (“Terms”) govern your access to and use of Axis (“Axis,” “Service,” “we,” “us,” or “our”), a multi-tenant operations platform available at https://www.axis-ops.app and operated by [COMPANY NAME], a company registered in [COUNTRY OF REGISTRATION] (“Operator”). By creating an account, accepting a workspace invitation, or otherwise using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1. Definitions
- “Workspace” means an isolated tenant environment within Axis used by a single Customer organization to manage clients, tasks, hiring requests, members, weekly reports, attendance, and integrations.
- “Workspace Owner” means the individual or entity that creates and pays for a Workspace.
- “Authorized User” means an admin, manager, employee, virtual assistant, or other individual invited by the Workspace Owner to access the Workspace.
- “Customer Data” means all data, content, and information submitted to or processed through the Service by you or your Authorized Users.
- “Subscription” means a recurring paid plan that provides access to the Service.
2. Eligibility and Account Registration
You must be at least 18 years old and capable of entering into a binding contract. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at [SUPPORT EMAIL] if you suspect unauthorized access.
3. Workspaces and Authorized Users
Workspaces are created by paying Customers. Authorized Users may only access a Workspace through an invitation issued by the Workspace Owner or a designated administrator. The Workspace Owner is responsible for:
- Inviting and removing Authorized Users.
- Configuring permissions and access controls within the Workspace.
- Ensuring that Authorized Users comply with these Terms.
- The accuracy, legality, and appropriateness of all Customer Data.
If you access a Workspace as an Authorized User but are not the Workspace Owner, your use of the Service is also governed by any applicable internal policies of the Workspace Owner.
4. Subscriptions, Billing, and Refunds
4.1 Plans
Axis is offered on monthly and annual Subscription plans. Pricing, features, and seat limits for each plan are described on https://www.axis-ops.app or in an order form executed between the parties.
4.2 Billing
Subscription fees are billed in advance — monthly for monthly plans and annually for annual plans. By providing a payment method, you authorize us to charge that payment method for all fees due. All fees are exclusive of taxes, which you are responsible for paying.
4.3 Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your Workspace billing settings.
4.4 Refunds and Cancellation
Monthly Subscriptions are non-refundable. If you cancel during a monthly term, you retain access through the end of the paid period and are not charged again. For annual Subscriptions, if you cancel before the end of the annual term, we will issue a prorated refund for the unused full months remaining, less any discount that was contingent on the annual commitment.
4.5 Late Payment
If a payment fails, we may suspend access to the Service until payment is resolved. After 30 days of non-payment, we may terminate your Subscription and delete the Workspace in accordance with Section 11.
5. Acceptable Use
You agree not to, and not to permit any Authorized User to:
- Use the Service to violate any applicable law or regulation.
- Scrape, crawl, or harvest data from the Service by automated means except via documented APIs and within published rate limits.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service.
- Probe, scan, or test the vulnerability of the Service without prior written authorization.
- Upload or transmit any content that is unlawful, infringing, defamatory, or that contains malware.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service to send unsolicited communications.
- Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted.
We may suspend access immediately if we reasonably believe your use of the Service violates this Section.
6. Customer Data and Data Roles
6.1 Ownership
You retain all rights, title, and interest in and to Customer Data. We claim no ownership over Customer Data.
6.2 License to Operator
You grant us a limited, worldwide, non-exclusive license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service to you.
6.3 Roles under Data Protection Law
For Customer Data processed by Axis, the Workspace Owner is the data controller and Operator is a data processor. The processing of personal data is governed by our Privacy Policy and, where required, a Data Processing Addendum available on request from [PRIVACY EMAIL].
6.4 Authorized User Account Data
For account information of Authorized Users (such as the email and name used to access the Workspace), Operator may act as a controller for limited purposes such as authentication and security, as further described in our Privacy Policy.
7. AI Features
Certain features of the Service (“Magic Prompt” and similar AI features) send prompts and contextual workspace information to Anthropic's Claude API to generate outputs. By using these features, you acknowledge that:
- Prompts and resulting outputs are transmitted to Anthropic for processing.
- Per Anthropic's commercial API terms, your inputs and outputs are not used to train Anthropic's foundation models.
- AI outputs may be inaccurate, incomplete, or otherwise unsuitable for your purpose. You are responsible for reviewing AI outputs before relying on them.
- You must not submit data into AI features that you are not authorized to share with Anthropic as a subprocessor.
8. Third-Party Integrations
Axis offers integrations with third-party services, including Clockify, Airtable, Slack, and Google Calendar. When you enable an integration, you authorize Axis to access and exchange data with that service in accordance with the OAuth scopes you grant. Your use of any third-party service is governed by that provider's own terms and privacy policy, and we are not responsible for any third-party service.
9. Intellectual Property
The Service, including all software, designs, logos, and documentation, is owned by Operator or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable right to access and use the Service during the term of your Subscription, subject to these Terms.
You may submit feedback, suggestions, or ideas about the Service. You grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
10. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information of like kind, and in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.
11. Term, Suspension, and Termination
11.1 Term
These Terms remain in effect while you have an active Subscription or accessible Workspace.
11.2 Termination by You
You may terminate by cancelling your Subscription and deleting your Workspace. Refund treatment is governed by Section 4.4.
11.3 Termination by Us
We may suspend or terminate the Service for material breach of these Terms (including non-payment) on 30 days' notice if the breach is curable, or immediately if the breach is not curable, or if required by law.
11.4 Effect of Termination
On termination, your right to access the Service ends. Customer Data is handled in accordance with the retention rules described in our Privacy Policy.
12. Warranty Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by law, Operator disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will Operator be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, lost revenue, or lost data, arising out of or related to the Service, even if advised of the possibility of such damages.
Operator's total liability arising out of or relating to these Terms will not exceed the fees paid by you to Operator during the twelve (12) months preceding the event giving rise to the liability.
14. Indemnification
You agree to defend, indemnify, and hold harmless Operator and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any law or third-party right.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of [JURISDICTION], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms will be resolved by [arbitration / the courts of [JURISDICTION]], except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide notice via email to the Workspace Owner or by posting a notice in the Service at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. General
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the parties and supersede all prior agreements on the subject.
17.2 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.3 Severability
If any provision is held unenforceable, the remaining provisions will remain in full effect.
17.4 No Waiver
Our failure to enforce any provision is not a waiver of that provision.
17.5 Force Majeure
Neither party is liable for failure to perform due to causes beyond its reasonable control, including acts of God, internet outages, or government actions.
